Terms of Service

Terms for Blackwall products and services

Effective date: August 25, 2026

These Terms of Service ("Terms") govern access to and use of Blackwall Systems websites, software, applications, licenses, subscriptions, support, and related services. By purchasing, starting a trial, activating a license, or using a Blackwall service, you agree to these Terms.

1. Business use

Blackwall products and services are offered primarily for business and professional use. You represent that you have authority to accept these Terms for yourself or the organization on whose behalf you use the service.

2. Free and Premium editions

Blackwall may offer a free edition with a limited feature set and a Premium edition with additional functionality. Features may differ by platform, product version, plan, and technical capability. We may improve, replace, or discontinue individual features, provided that we do not intentionally remove the core paid service without reasonable consideration of affected subscribers.

3. Premium pricing

Unless a different written offer applies, standard Blackwall Systems AI Chatbot Premium pricing is:

WooCommerce and Shopify licenses are product-specific. A WooCommerce license may not be used to activate the Shopify product, and a Shopify license may not be used to activate the WooCommerce product.

4. 14-day Premium trial

Eligible customers may receive a 14-day Premium trial. Trial availability and billing method depend on the product platform.

Trial reminder: If you do not want the paid subscription to begin, cancel through the billing method for your platform before the trial ends: Shopify Admin/Blackwall app billing controls for Shopify, or the available Stripe customer billing portal for direct/WooCommerce subscriptions.

Trial eligibility is generally limited to one trial per Blackwall product and customer/payment identity. Blackwall may use normalized or hashed billing identity, platform subscription history, Stripe customer/payment-method signals for Stripe-billed products, license history, and other reasonable anti-abuse signals to determine eligibility.

5. Automatic renewal

Paid subscriptions renew automatically at the end of each billing period unless canceled. Monthly plans renew monthly and annual plans renew annually. Renewal and billing are processed through the applicable platform: Shopify Billing for the Shopify edition and Stripe or another disclosed billing method for direct/non-Shopify editions.

6. Cancellation

You may cancel a recurring subscription through the billing controls made available for the applicable platform. Shopify app subscriptions are managed through Shopify/Blackwall app billing controls. Direct and applicable WooCommerce subscriptions may be managed through the Stripe-hosted customer portal. Unless otherwise required by law or expressly stated, cancellation takes effect according to the billing platform's subscription state and the current paid-through period.

7. Failed payments and grace periods

If a recurring payment fails, the applicable billing platform may retry the payment or request updated payment information. Blackwall may provide a temporary entitlement grace period while payment recovery is attempted. If payment remains unresolved after the applicable grace period, Premium entitlement may expire, suspend, or fall back to the Free feature set.

8. License grant and activation limit

Subject to payment and compliance with these Terms, Blackwall grants you a limited, non-exclusive, non-transferable, revocable right to use the applicable software and Premium features for your internal business purposes during the active subscription or license term.

The standard entitlement permits one website or one Shopify store activation. For Shopify, the managed Blackwall entitlement is associated with the installed Shopify store and Shopify Billing subscription. You may not share, resell, sublicense, publish, or distribute license credentials or use one entitlement across multiple independent businesses, sites, or stores beyond the purchased allowance.

9. Acceptable use

You must not use Blackwall services to violate law, infringe rights, distribute malware, compromise systems, evade security controls, misuse customer information, conduct prohibited automated decision-making, or facilitate fraudulent or abusive activity. You are responsible for the prompts, integrations, data sources, credentials, business rules, and merchant configurations you provide.

10. AI functionality

AI-generated output can be incomplete, inaccurate, or inappropriate for a particular context. You are responsible for reviewing configurations and using appropriate human oversight. Blackwall does not guarantee that AI output will be factually correct, legally compliant, or suitable for high-stakes decisions. Blackwall should not be used as a substitute for professional legal, medical, financial, or other regulated advice.

11. Third-party platforms and providers

Blackwall may integrate with Shopify, WooCommerce/WordPress, Stripe, Cloudflare, AI providers, email services, and other third-party systems. Your use of those services may also be governed by their own terms. Blackwall is not responsible for outages, restrictions, API changes, account actions, or other conditions controlled by third parties.

12. Platform billing and Stripe Managed Payments

Shopify edition: app subscription charges are processed through Shopify Billing and are subject to Shopify's applicable merchant billing terms and policies.

Direct and applicable non-Shopify editions: payments may be processed through Stripe Managed Payments, under which Stripe or the applicable Stripe affiliate may act as merchant of record for the transaction. Stripe may handle payment processing, applicable transaction taxes, fraud/dispute administration, and certain payment-related customer support. Those transactions are also subject to Stripe's applicable terms and policies.

13. Professional services and invoices

Setup, implementation, consulting, development, migration, training, or other professional services may be offered separately and invoiced through Stripe or another agreed method. The scope, price, delivery assumptions, and payment terms for those services may be stated in a quote, proposal, statement of work, invoice, or other written agreement. If those written terms conflict with these general Terms regarding a professional-services engagement, the more specific written terms control for that engagement.

14. Intellectual property

Blackwall Systems and its licensors retain all right, title, and interest in Blackwall software, branding, documentation, designs, code, and other proprietary materials. These Terms grant a right to use the service; they do not transfer ownership of Blackwall intellectual property.

15. Customer data

You retain rights you otherwise hold in information you provide to Blackwall. You grant Blackwall the limited rights necessary to process that information to provide, secure, support, and administer the service. Our handling of personal information is described in the Privacy Policy. When Blackwall processes merchant customer personal data on your behalf, the Data Processing Addendum is incorporated into these Terms and applies to that processing.

16. Availability and changes

We work to provide dependable services but do not guarantee uninterrupted or error-free operation. Maintenance, security events, third-party outages, platform changes, and circumstances outside our control may affect availability.

17. Suspension and termination

We may suspend or terminate access for material breach, nonpayment, fraud, security threats, unlawful use, license abuse, or conduct that creates material risk to Blackwall, merchants, customers, or third parties. Where practical, we will provide notice and an opportunity to cure non-urgent issues.

18. Refunds

Refund and cancellation rules are described in the Refund & Cancellation Policy, which is incorporated into these Terms.

19. Disclaimers

To the maximum extent permitted by law, Blackwall services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or error free, except where such disclaimers are prohibited by law.

20. Limitation of liability

To the maximum extent permitted by law, Blackwall Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the service. To the extent liability cannot be excluded, Blackwall's aggregate liability arising from a paid software subscription will not exceed the amount paid for the affected Blackwall subscription during the 12 months preceding the event giving rise to the claim, except where applicable law requires otherwise.

21. Indemnification

To the extent permitted by law, you agree to defend and indemnify Blackwall Systems from third-party claims arising from your unlawful use of the service, your content or configurations, your violation of these Terms, or your infringement of another person's rights.

22. Changes to these Terms

We may update these Terms to reflect service, legal, security, or business changes. Material changes affecting active subscriptions will be communicated when required by law. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.

23. Governing terms and contact

Questions about these Terms may be submitted through the Blackwall Systems contact form. Any mandatory rights that apply under the law governing a particular customer transaction are not waived by these Terms.
